The terms governing membership and use of SPARK.
These terms and conditions (the "Terms") govern your membership of SPARK and your use of everything we provide under that name. They form a legally binding agreement between you and Club Spark Pte. Ltd., a company incorporated in Singapore with its registered office at 23 New Industrial Road, #04-08 Solstice Business Center, Singapore 536209 ("SPARK", "we", "us" or "our").
In these Terms, "Services" means the SPARK mobile application, the website at spark.love and any subdomain of it, the membership application and approval process, your SPARK membership itself, the introductions and bookings made through the platform, and the in-person experiences and events we organise or host. Where a provision refers specifically to the mobile application or specifically to an event, it applies only to that.
By applying for membership, creating an account, paying a membership fee, or attending a SPARK experience, you confirm that you have read and understood these Terms and agree to be bound by them. This agreement is binding even though it is electronic and you have not physically signed it.
Two further documents form part of this agreement and you should read them alongside these Terms: our Community Guidelines at spark.love/community-guidelines, which set out the standards expected of profiles and conduct, and our Privacy Policy at spark.love/privacy-policy, which explains how we handle your personal information. If there is a conflict between these Terms and the Community Guidelines, these Terms prevail.
If you are entering into this agreement on behalf of a business or other legal entity, you confirm that you have authority to bind that entity, and "you" refers to that entity. If you do not have that authority, or you do not agree to these Terms, you must not use the Services.
You must be at least 20 years of age to apply for membership or use the Services, and by using them you warrant that you are.
Membership is by application and approval. We are not obliged to approve any application, and we may decline an application without giving reasons. Approval of an application is not a guarantee of any particular introduction, invitation or outcome.
You may hold only one account. You may not use the Services if we have previously removed you, unless we agree in writing that you may return.
You are responsible for keeping your account secure and for everything that happens under it. Tell us immediately at hello@spark.love if you believe your account has been accessed without your permission or your security has been compromised in any other way.
We may review new accounts before you can sign in and begin using the Services. Providing false contact information, impersonating another person, or misrepresenting your identity may result in termination of your account.
You can delete your account at any time. Instructions are at spark.love/delete-account. Deleting your account does not by itself end a paid membership term or entitle you to a refund; section 6 explains how cancellation and refunds work.
SPARK works because members can tell who they are actually meeting. Your profile must therefore represent you honestly and recognisably.
At least one photograph on your profile must show your face clearly and without obstruction, and must be a genuine, recent likeness of you. Photographs must not contain explicit, sexual or nude content, must not show you in a state of undress or in an intimate or bedroom setting, must not be so dark, blurred, distant or heavily filtered that your face cannot be made out, and must not show a person other than you as the apparent subject.
The Community Guidelines set out these standards in fuller and plainer terms, with examples. We may update the Community Guidelines from time to time, and we will tell you when we make a change that materially raises what is expected of you.
If a photograph does not meet these standards we may remove it, ask you to replace it, restrict your profile's visibility, suspend your account, or in serious or repeated cases close it. Which of those we do will depend on how serious the problem is and whether it has happened before, as described in section 10.
If you cannot meet the face-visibility requirement for a religious, medical or personal-safety reason, contact us at hello@spark.love and we will consider a reasonable alternative on a case-by-case basis.
We use a combination of automated tools and human review to check that photographs meet these standards. Automated screening looks for explicit imagery, obscured or missing faces, and images that appear not to depict a real person. Where an automated check leads to your photo being removed or your account being restricted, you may ask for a human review under section 10. Our Privacy Policy explains how photographs are processed and how long they are kept.
Membership is offered on the terms and at the price shown to you at the point of purchase. Premium Membership is currently US$240 per year. Members who joined at our earlier founding rate of US$99 per year keep that rate for as long as their membership remains continuously active; if such a membership lapses, a later renewal will be at the price then current. Where you redeem a valid discount code, the discounted rate and the terms stated with that code apply.
Membership runs for the period you selected and renews automatically for successive periods of the same length until you cancel. We will charge the payment method you provided on each renewal date. We will email you a reminder before each renewal.
Card payments are processed by Stripe. We do not receive or store your full card number. Sensitive data is exchanged over an encrypted connection.
Where a purchase presents a materially elevated fraud or compliance risk, we may ask you to verify your identity before we complete it, which may include a copy of a government-issued photo identification document. We will ask only for what we need for that check, we will use it only for that purpose and for preventing fraud and money laundering, and we will retain it only for as long as we are required to. Our Privacy Policy sets out the detail.
We may change our prices. A price change will not affect your current paid period; it will apply from your next renewal, and we will tell you at least 30 days before that renewal so that you can cancel if you prefer.
Membership fees do not include the cost of anything you buy at an experience. Venues, tickets, food, beverages and travel are your own cost unless we have expressly said an experience is inclusive.
You can cancel at any time, from your account settings in the app or by emailing hello@spark.love. Cancellation stops the next renewal. Your membership continues, and you keep access, until the end of the period you have already paid for.
Membership fees are not refundable in part when you cancel mid-term, because you retain access for the remainder of the term.
If you cancel within 14 days of first joining and you have not attended a SPARK experience or accepted an introduction in that time, we will refund your first payment in full.
If we close your account because you have broken these Terms, you are not entitled to a refund. If we close your account for any other reason, or we stop providing the Services, we will refund the unused portion of your membership.
If you become a member and do not attend a SPARK experience within 30 days, we will extend your membership by a further 30 days at no additional cost.
The promise applies where you have engaged with the Services during that period, meaning that you completed your profile to the standards in section 4 and either requested or accepted at least one introduction or experience booking. It does not apply where you did not use the Services during the period, where you declined the invitations offered to you, or where you were unable to attend for reasons outside our control. The extension is applied once per membership term, and you should claim it by emailing hello@spark.love within 14 days of the end of the 30-day period.
You keep ownership of everything you submit to the Services, including your photographs, your profile information, your messages and anything else you create or upload ("Your Content"). We do not claim ownership of it.
You are responsible for Your Content: for its accuracy, its legality, and for having the right to use and share it. You must not upload anything you do not have permission to use.
You grant us a licence to host, store, copy, transmit, reformat and display Your Content to the extent needed to operate the Services and provide your membership. That licence ends when you delete the content or close your account, except where we need to retain something to comply with a legal obligation or to deal with a dispute or a safety issue. We will not use Your Content for marketing or any commercial purpose beyond running the Services without asking you first.
We may review Your Content and we may remove anything that in our reasonable opinion breaks these Terms, breaks the Community Guidelines, or is otherwise harmful. We are not obliged to monitor, and not doing so in any particular case does not waive our right to act later.
You must not use the Services:
For any unlawful purpose, or to encourage or facilitate any unlawful act, including terrorism, human trafficking, money laundering, the exploitation or abuse of children, or the incitement of violence or hatred.
To break any law or regulation that applies to you.
To infringe anyone's intellectual property rights, including ours.
To harass, abuse, insult, harm, defame, threaten, intimidate or stalk any person, or to discriminate against anyone on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin or disability.
To submit false or misleading information, to impersonate anyone, or to misrepresent your identity, age or intentions.
To solicit money, investment, donations or commercial services from other members, or to promote a business, product or service to them without our written permission.
To post or transmit explicit, sexual or obscene material, or to send unsolicited sexual content to another member.
To upload or transmit viruses or any other malicious code.
To spam, phish, pharm, pretext, spider, crawl or scrape.
To interfere with or circumvent the security features of the Services.
To collect, store or share another member's personal information without their consent.
We do not tolerate inappropriate content or behaviour on the Services, and we take conduct outside the Services seriously where it bears on the safety of our community.
You can report a member, a profile or a message by emailing hello@spark.love, and, where reporting tools are available in the mobile application, by using those. We will look at every report we receive.
We use a combination of automated tools and human reviewers to enforce these Terms and the Community Guidelines. Our systems prioritise the most serious harms, and material such as child sexual exploitation material or terrorist content will result in immediate removal and a permanent ban.
Otherwise, what we do depends on how serious the breach is and whether it has happened before. Consequences range from a warning, through removal of content, restriction of your profile's visibility, and temporary suspension, to permanent closure of your account and removal from all SPARK experiences.
If we remove your content or restrict or close your account and you believe we have made a mistake, you can ask us to look at it again by emailing hello@spark.love within 30 days. We will review the decision, and wherever practicable that review will be carried out by someone who was not involved in making it.
Reports made in bad faith may themselves lead to action against the person making them. In assessing that we consider evidence that a report was motivated by bias or hatred, including on the basis of a protected characteristic such as race, sexual orientation or gender identity, or by other malicious intent. Repeatedly making bad-faith reports will result in a ban.
We may share information between SPARK entities and with our partners where this is necessary for the safety and security of members. We may not be able to tell you what action we have taken in response to your report, or why, where doing so would affect another member's safety or privacy.
SPARK introduces members to one another and organises experiences at third-party venues. We do not supervise members' interactions and we are not a party to whatever you and another member arrange between yourselves. You are solely responsible for your own conduct, for your decisions about who to meet and where, and for your own safety.
We verify identity to the standard described on our Safety page. Identity verification is not a criminal background check, a character reference or a guarantee of anyone's honesty, intentions or safety. We do not carry out criminal record checks on members, and you should not assume that any member has been screened beyond identity. Please read the guidance at spark.love/safety before meeting anyone, and use your own judgement.
By attending a SPARK experience you accept the ordinary risks of attending a social event at a venue you do not control, and you agree to follow any instructions given by us or by the venue. You must not attend while intoxicated to a degree that affects other guests, and we or the venue may ask you to leave an event at any time; no refund is due where that happens because of your conduct.
Venues, transport and other suppliers at an experience are independent third parties. We select them with care but we do not control them, and we are not responsible for their acts or omissions, for the quality of what they supply, or for anything you agree with them directly.
Attendance at an experience may be limited, allocated or balanced at our discretion, and confirming a booking may require a deposit or a ticket charge which will be made clear at the time. Where an experience is cancelled by us, we will offer a place at an alternative experience or refund any charge specific to that experience.
You must not photograph, film or record other guests at a SPARK experience without their consent, and you must not share another member's identity, contact details or anything they told you in confidence.
We aim to keep the Services available at least 99% of the time each month, and we work to keep unplanned downtime rare and short. This is a target rather than a guarantee, and it does not apply to interruptions caused by scheduled maintenance or repairs, by your own acts or equipment, by outages that do not affect core functionality, or by events outside our reasonable control.
We take regular backups and use reasonable endeavours to keep them complete and accurate, and to restore them promptly in the event of hardware failure or data loss. We cannot guarantee that any particular data will be recoverable, and you should keep your own copy of anything you would not want to lose.
The Services may occasionally contain typographical errors, inaccuracies or omissions, including in relation to prices, promotions and offers. We may correct any such error and may change or update information, or cancel an order, at any time and without prior notice, including after an order has been submitted. Where we cancel an order that you have already paid for, we will refund it. We are under no obligation to update information except where the law requires it.
If you choose to enable, access or use a third-party service through the Services, your use of it is governed by that provider's own terms. We do not endorse third-party services and we are not responsible for them, for their content, or for how they handle your data.
Where you enable a third-party integration, you authorise us to share with that provider the personal data necessary to operate the specific integration you have enabled, and nothing further. You may be required to register with the provider separately.
The Services may link to other websites and applications. A link is not an endorsement. We do not review linked resources and we are not responsible for them.
Our Privacy Policy at spark.love/privacy-policy explains what personal data we collect, why we collect it, who we share it with, how long we keep it and what rights you have. It forms part of this agreement. Please read it.
"Intellectual Property Rights" means all rights in copyright and related rights, trade marks, designs, patents, inventions, goodwill, the right to sue for passing off, rights to use, and all other intellectual property rights, whether registered or unregistered, including all applications for them, anywhere in the world.
This agreement does not transfer to you any intellectual property owned by SPARK or by a third party. All rights, title and interest in the Services remain with SPARK and its licensors. The SPARK name, logo and wordmark, and all other trade marks, service marks, graphics and logos used in connection with the Services, are ours or our licensors'. Nothing in these Terms grants you any right to use them.
The Services are provided on an "as is" and "as available" basis and your use of them is at your own risk. To the extent permitted by law we exclude all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the Services will meet your requirements, that they will be uninterrupted, timely, secure or error-free, that information obtained through them will be accurate or reliable, or that defects will be corrected. We make no warranty about the outcome of any introduction, and in particular we do not promise that you will meet anyone, form any relationship, or achieve any personal or professional result.
Nothing in this section limits any right you have under a law that cannot be excluded.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.
Subject to that, and to the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, punitive or consequential loss, or for loss of profits, revenue, sales, goodwill, business opportunity, anticipated savings, or business interruption, however caused and under any theory of liability, even if we were advised that such loss was possible.
Subject to the first paragraph of this section, our total aggregate liability arising out of or in connection with these Terms and the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of US$100 and the total membership fees you paid to us in the twelve months before the event giving rise to the liability.
These limits apply even if a remedy fails of its essential purpose.
You agree to indemnify and hold harmless SPARK and its affiliates, directors, officers, employees, agents, suppliers and licensors against any liabilities, losses, damages and costs, including reasonable legal fees, arising from a third-party claim brought against any of them as a result of Your Content, your use of the Services, your conduct towards another member, or your wilful misconduct or breach of these Terms.
We may suspend, restrict or close your account, and remove you from the Services and from SPARK experiences, if you break these Terms or the Community Guidelines, if your conduct, whether on or off the Services, would in our reasonable opinion put another member at risk or damage SPARK's reputation, or if we are required to do so by law. Section 10 explains how we decide what action to take and how you can appeal.
Where we close your account for breach you may not re-register, and we may block your email address and IP address to prevent it.
You may close your account at any time as described in section 3.
Sections 8 (as to the licence we need to retain), 16, 17, 18, 19, 21 and 22 survive the end of this agreement, together with any other provision which by its nature is intended to survive.
We may change these Terms. Where a change is material, including any change to fees, to the limitation of liability, or to the dispute resolution provisions, we will give you at least 30 days' notice by email and by a notice in the mobile application before it takes effect, and you may cancel your membership before it does. Changes to fees apply only from your next renewal.
Other changes take effect when we post the revised Terms. We will update the "Last updated" date at the foot of this page whenever we make a change. Continuing to use the Services after a change takes effect means you accept it.
These Terms, and any dispute arising out of or in connection with them, are governed by the laws of Thailand, without regard to its conflict of laws rules. The courts of Thailand have exclusive jurisdiction, and you submit to the personal jurisdiction of those courts.
Before starting proceedings, please contact us at hello@spark.love so that we can try to resolve the matter directly. Most things can be sorted out that way.
Nothing in this section deprives you of the protection of any mandatory consumer law of the country in which you live.
If any provision of these Terms is held to be unlawful, invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.
Neither of us is liable for a failure or delay in performance caused by an event outside our reasonable control.
These Terms, together with the Community Guidelines and the Privacy Policy, are the entire agreement between us about the Services and replace anything said or written beforehand.
If we do not enforce a provision of these Terms on any occasion, that is not a waiver of our right to enforce it later.
You may not transfer your membership or your rights under these Terms to anyone else. We may transfer ours to a company that acquires our business, provided your rights are not adversely affected.
We will send notices to the email address on your account. You should send notices to hello@spark.love, or in writing to the registered office in section 1.
